Terms of Use

By accessing and using Agrostil ("Platform"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Platform. Agrostil reserves the right to modify these terms at any time. Your continued use after modifications constitutes acceptance.

You represent and warrant that: - You are at least 18 years old or have parental consent - You have the legal capacity to enter into contracts in your jurisdiction - You are not prohibited by law from using the Platform - Any information you provide is accurate and complete

3.1 License Grant: Agrostil grants you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. 3.2 Prohibited Activities: You agree not to: - Use the Platform for illegal purposes or in violation of applicable laws - Attempt to gain unauthorized access to the Platform or its systems - Reverse engineer, decompile, or otherwise extract our source code - Scrape or automate data collection without authorization - Harass, threaten, or defame other users - Provide false or misleading information - Use the Platform on behalf of another without authority

4.1 Your Responsibilities: - Provide accurate farm activity data via WhatsApp/USSD - Maintain confidentiality of your login credentials - Use your credit profile only for legitimate farming and business purposes - Report any unauthorized access to your account immediately 4.2 Farm Data Ownership: You retain ownership of your farm data. By using Agrostil, you grant us a license to process, analyze, and use this data to generate your credit profile and provide services. 4.3 Credit Profile Accuracy: Your Farm Credit Score is generated by our AI models based on the data you provide. While we aim for accuracy, credit scores are estimates and subject to change as new data is received. Lending decisions are ultimately made by partner institutions.

5.1 API Access: If you are a lender or partner accessing credit scores via our API, you agree to: - Use credit data solely for legitimate lending, insurance, or input-credit decisions - Comply with all applicable financial and data protection regulations - Not share or resell credit data without Agrostil's written consent - Maintain confidentiality of API credentials 5.2 Liability for Lending Decisions: Agrostil provides credit intelligence only. Lending, insurance, and input-credit decisions remain your sole responsibility. You are liable for all decisions made based on Agrostil data.

6.1 Ownership: All content, technology, algorithms, and trademarks on the Platform are owned by Agrostil or its licensors. You acquire no ownership rights to any Platform materials. 6.2 User Content: Any content you submit (farm data, feedback, suggestions) may be used by Agrostil to improve the Platform, subject to our Privacy Policy.

7.1 "As Is" Basis: The Platform is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. 7.2 No Financial Advice: Agrostil does not provide financial, investment, or agricultural advice. The Platform is for informational purposes only. Consult with qualified professionals for specific guidance. 7.3 No Guarantee of Credit Access: Agrostil does not guarantee that a credit score will result in loan approval. Lenders make independent lending decisions. 7.4 Service Interruptions: While we strive for 99.99% uptime, we do not guarantee uninterrupted service. We are not liable for temporary outages or service degradation.

To the maximum extent permitted by law, Agrostil is not liable for: - Indirect, incidental, special, consequential, or punitive damages - Loss of profits, data, revenue, or business opportunities - Any damages arising from unauthorized access to your data - Errors, omissions, or delays in the Platform - Third-party actions or content In no case shall our total liability exceed the amount you have paid us in the preceding 12 months (or ₦1,000 if you have not paid).

You agree to indemnify and hold harmless Agrostil, its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: - Your use of the Platform - Your violation of these Terms - Your infringement of any third-party rights - Any false or misleading information you provide

Agrostil may suspend or terminate your account if: - You violate these Terms - You engage in fraudulent or illegal activity - You repeatedly provide false information - We are required to do so by law Upon termination, your access to the Platform ceases, but we may retain your data as required by law or for legitimate business purposes.

11.1 Governing Law: These Terms are governed by the laws of Nigeria, without regard to conflict of law principles. 11.2 Dispute Resolution: Any dispute arising from these Terms or your use of the Platform shall be resolved through: 1. Good-faith negotiation between the parties 2. Mediation (if negotiation fails) 3. Binding arbitration in Ibadan, Nigeria (if mediation fails) You waive the right to a jury trial and agree not to participate in class actions against Agrostil.

12.1 Financial Services: Agrostil operates as a credit information service. We are subject to oversight by the Central Bank of Nigeria (CBN) and the Securities and Exchange Commission (SEC) as applicable. 12.2 Data Protection: We comply with Nigeria's data protection frameworks and international best practices. See our Privacy Policy for details. 12.3 Anti-Fraud: We maintain systems to detect and prevent fraud. We cooperate with law enforcement as required.

Agrostil may update the Platform, services, and features at any time without notice. We may discontinue features or services with 30 days' notice.

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Agrostil. No prior agreements, understandings, or representations are binding.
